required by Rule 24f-2 for its fiscal year ended November 30, 1995.

EXPLANATORY NOTE
This Post-Effective Amendment No. 19 to the Registration Statement (the
"Amendment") of SBSF Funds, Inc. (d/b/a Key Mutual Funds) hereby incorporates by
reference all the information set forth in Parts A, B & C of Post-Effective
Amendment No. 17 under the Securities Act of 1933 and Amendment No. 18 under the
Investment Company Act of 1940 which was filed on March 1, 1996 pursuant to Rule
485(a)(2). This Amendment is being filed solely for the purpose of delaying the
effectiveness of Post-Effective Amendment No. 17. This Amendment does not affect
the Registration Statement for the SBSF Fund, the SBSF Convertible Securities
Fund, the SBSF Capital Growth Fund and the SBSF Money Market Fund currently in
effect.
