Key Mutual Funds) (the "Company") that the forms of Prospectus and Statement of
Additional Information for the Company's SBSF Fund, SBSF Convertible Securities
Fund, SBSF Capital Growth Fund and Key Money Market Mutual Fund that would have
been filed pursuant to Rule 497(c) under the Securities Act of 1933 do not
differ from the Prospectuses and Statement of Additional Information contained
in Post-Effective Amendment No. 24 to the Company's Registration Statement on
Form N-1A. The text of Post-Effective Amendment No. 24 was filed electronically
