QUANTITATIVE GROUP OF FUNDS
SUPPLEMENT TO PROSPECTUS
DATED AUGUST 1, 1995
The following language supplements the disclosure under
INVESTMENT OBJECTIVES AND POLICIES and "MANAGEMENT OF THE
FUNDS - THE MANAGER AND THE ADVISORS on pages 6 and 10 of the Prospectus:
Quantitative Advisors, Inc. (the "Manager"), presently retains Numeric
Investors, L.P. as Advisor to the Quantitative Numeric and Quantitative
Numeric II series of the Quantitative Group of Funds (the "Series"). At
a meeting on May 20, 1996, the Fund's Board of Trustees voted to approve
Columbia Partners, L.L.C., Investment Management ("Columbia Partners")
as Advisor to the Series, pursuant to Advisory Contracts. The Contracts
will take effect on or about June 30, 1996, upon termination of the
existing Contracts with Numeric Investors, L.P. The Fund will seek the
approval of the shareholders of the Series at a meeting to be held within
120 days of such termination.
Columbia Partners is organized as a Delaware limited liability company
and is located in Washington, D.C. The firm presently has over one
billion dollars under management for individual, pension plan and
endowmwnt accounts. Robert A. von Pentz, CFA will manage the Quantitative
Numeric and Quantitative Numeric II Funds, Mr. von Pentz is a founder of
Columbia Partners and previously served as chairman of the board and chief
financial officer of Riggs Investment Management Corporation. Mr. von Pentz
received a BA in Economics and an MBA in Finance from the University of New
Mexico.
