ITEM 5.   OTHER EVENTS.

     Nord Resources Corporation (the "Company") owns a 50% interest in Sierra
Rutile Limited ("SRL"), a Sierra Leone corporation.  SRL owns and operates a
rutile mine and processing facility in Sierra Leone, West Africa.

     On January 20, 1995, SRL's mining operation came under military attack from
rebel forces who took control of the minesite and took as hostages three
employees of SRL, namely, two expatriate British and one Sierra Leone national.

     On February 1, 1995, Government military forces retook the minesite
following an attack on the rebels occupying the mine.

     An initial attempt to inspect the minesite on February 9, 1995 was
discontinued because of concerns regarding the personal safety of the
individuals assigned to perform the inspection.

     It is believed that the three Company hostages are still in the control of
the rebels and attempts to negotiate their release are now being coordinated by
the International Red Cross.

     Assessment of the political, military and security situations in the
country is ongoing and operations at the minesite remain suspended.

                                  Press Release


     DAYTON, Ohio, January 20, 1995 -- Nord Resources Corporation (NYSE:NRD)
today announced that operations at Sierra Rutile, its 50% owned rutile mine and
processing facility in Sierra Leone, West Africa, came under military attack
from alleged "rebel" forces at 5:00am EST Friday, January 20.  Sierra Rutile
started evacuating minesite personnel at approximately 7:00am EST today.

     The military attack steadily escalated after sporadic skirmishes earlier in
the day.  This  developed into an attack on the minesite which was defended by a
local contingent of Sierra Leone troops. An attempt at negotiation to avoid an
escalation of the fighting failed and resulted in three hostages being taken,
two expatriate British and one Sierra Leone national.

     Sierra Rutile employs approximately 2,000 people including 20 expatriates,
a majority of whom are British, and 130 other expatriate contract personnel,
mostly Malaysian.

                NORD RESOURCES CORPORATION ANNOUNCES REPORT THAT
          SIERRA RUTILE MINESITE HAS BEEN RE-TAKEN BY GOVERNMENT FORCES

                                  Press Release


     DAYTON, Ohio, February 1, 1995 --  Nord Resources Corporation (NYSE:NRD)
announced today that further to the announcement of 20 January 1995 concerning
suspension of operations at Nord's 50% owned rutile mine in Sierra Leone, West
Africa, Nord advises that operations remain suspended, however, reports from
Freetown, Sierra Leone advise that the Government military forces on Wednesday
February 1, 1995 (Sierra Leone time) re-took the mine site following an attack
on the rebels occupying the mine.  It is believed that the three company
employees taken hostage are still in the control of the rebels.

     At this stage, the extent of damage, if any, is unknown.  It is planned
that within the next 48 hours a preliminary onsite assessment will be undertaken
subject to the ongoing security situation.

(NYSE:NRD) announced today that government forces continue to be in control of
the site of its 50%-owned rutile mine in Sierra Leone.  However, an initial
attempt to inspect the minesite was discontinued because of concerns regarding
the personal safety of the individuals assigned to perform that inspection.

     Assessment of the political, military and security situations in the
country is ongoing.

     There has been no confirmed news on the three Sierra Rutile Limited
employees taken hostage during the initial incident at the mine.  Attempts to
negotiate their release are now being coordinated by the International Red
Cross.
