Give brief description of transaction: On August 4, 1995, registrant
completed sale of 1,040,987 Units of its securities pursuant to an offering
registered under the Securities Act of 1933, Registration No. 33-88126. Each
unit consisted of four shares of common stock and two warrants, each warrant
representing the right to acquire one additional share of common stock. The
warrants are not separately transferable from the shares of common stock
comprising each unit until October 31, 1995. The 4,163,948 share increase
reported hereby represents the shares of common stock which are included with
the units. Unit certificates are to be issued during the week of August 7, 1995.
