of 171,428 shares of the Company's Common Stock were issued in connection with
the conversion of 200,000 shares of the Company's Series A Convertible Preferred
Stock-No. 1; and during April, May and June 1996, an aggregate of 39,340 shares
of the Company's Common Stock were issued upon exercise of outstanding stock
purchase warrants, payment of outstanding accounts payable and for services
rendered.
