Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained

Attachment to Form 12b-25
The subject Report on Form 10-KSB could not be timely filed because of system
conversions that were initiated near year end at two of the Company's operating
subsidiaries. Delays in the conversion process caused delays in the preparation
of the consolidated financial statements. It is expected that the Report will be
filed on or before the fifteenth calender day following the prescribed due date.
It is anticipated that the results of operations for the year ended April 30,
1996 will reflect a net loss of approximately $1,180,000 compared to a net loss
for the previous year of approximately $711,000. The increase in the net loss
was largely due to an increase in interest expense, an increase in provision for
bad debts, and an increase in amortization of intangible assets.
