Reference is hereby made to the Application/Declaration on Form U-1, as
amended (the "Application"), filed by Northeast Utilities ("NU") and
Northeast Utilities Service Company with the Securities and Exchange
Commission (the "Commission") in the above-referenced proceeding.
On April 15, 1987, the Commission issued its order set forth in Release
No. 35-24372 (the "Order"), approving NU's application to acquire and hold
certain securities of Executive Risk Inc. (the "Securities").
Pursuant to the Public Utility Holding Company Act of 1935, as amended,
and Rule 24(a) thereunder, NU hereby certifies that the closing of the sale
of the last of the Securities was carried out on February 6, 1995 in
accordance with the terms and conditions of and for the purposes represented
by the Application and of the Order.
Submitted with this Certificate is the "past tense" opinion of counsel
with respect to the consummation of the transactions contemplated by the
Application and the Order.
