Rule 0-3 of the General Rules and Regulations under the Act. The

PART III - NARRATIVE
Registrant has a limited number of financial and accounting personnel.
Significant priority time has been devoted in recent weeks to, among other
issues, the following matters:
(a) Preparing the Form 10-K which was on extension and filed on
April 15, 1999.
(b) Financing a building leased/occupied by an entity in which a
subsidiary is a partner and manager of operations.
(c) Refinancing a building, along with the construction of its major
addition, which has been the premises of its Partnership's
original diagnostic center and will now have an addition operated
by a subsidiary doing business as the Wendt-Bristol Women's
Health Center.
(d) Preparation and audit of subsidiary and related entities'
annual reports.
Part IV - OTHER INFORMATION
Current year's results of operations will reflect a net loss larger than the
previous year, which is attributable to the integration of new operations and
overhead attributable to the Company's transaction into additional facilities
and the cumulative effect of accounting change due to the write-off of start-up
expenses. An estimate of the expected loss is pending completion of additional
analyses for the quarter.
