PART III - NARRATIVE
Registrant has a reduced and limited number of financial and accounting
personnel. Significant priority time has been devoted in recent weeks to, among
other issues, the following matters:
(a) Implementation of a new accounting system along with the new "Year
2000 Compliance" software.
(b) Preparation of a final nursing home Medicaid Cost Report related to
the fourth quarter sale of the Company's remaining nursing home. This
sale further results in reclassifications to reflect discontinued
operations.
(c) Preparation of the financial information to be included in the Form
10-K, as well as analyses and details necessary for the audit
thereof.
PART IV - OTHER INFORMATION
Current year's results of operations will reflect a net loss greater than the
amount reported the previous year, which is attributable to the integration of
new operations and overhead attributable to the Company's transition into
additional facilities and the cumulative effect of an accounting change related
to the write-off of start-up expenses. An estimate of the expected loss is
pending completion of additional analyses.
