Item 1.  SECURITY AND ISSUER

     This Amendment No. 10 relates to the Schedule 13D filed on October 15, 1997
in connection with the ownership by Asset Value Fund Limited Partnership ("Asset
Value")  of shares of common  stock,  par value  $.002 per share  ("Shares")  of
Cortech,  Inc.,  a  Delaware  corporation  (the  "Company"  or  "Cortech").  The
capitalized terms used in this Amendment,  unless otherwise defined,  shall have
the same meaning as in the original Schedule 13D.


Item 4.  PURPOSE OF TRANSACTION.

     On June 22, 1998 the letter attached hereto as Exhibit H was faxed and sent
via overnight mail.

Dear Mr. Fingerhut:

     Your position  gives lip service to  stockholders'  rights but in substance
remains the same.  You and your cohorts are to remain in control of Cortech.  As
we have said  before,  that result  would be  acceptable  to us if that were the
judgment  of  a  majority  of  stockholders  (all  stockholders,  not  just  the
stockholders you selectively  include).  We have proposed to you (and separately
to Edward  Finkelstein)  that we let the  stockholders  decide who will  control
Cortech in a format that would enable  stockholders  to choose  without  wasting
more of Cortech's assets. Neither you nor Mr. Finkelstein has offered one reason
why the issue of control cannot be left to all stockholders.

     Apparently,  your alleged  commitment  to  stockholder  democracy  does not
extend that far. We regret that you prefer to embroil Cortech in a proxy contest
rather than risk the loss of your control.  We believe it is only fair to advise
the  incumbent  Board,  that if we gain control of Cortech,  as we expect to, we
shall  demand  that  Cortech  hold  the  Board  personally  accountable  for the
unnecessary costs of this solicitation.
