Item 1. Security and Issuer
This Amendment No. 11 to Schedule 13D on Delchamps, Inc.
(the "Issuer") is being filed on behalf of the undersigned to
amend the Schedule 13D, as amended (the "Schedule 13D") which was
originally filed on August 3, 1990. Unless otherwise indicated,
all capitalized terms used herein but not defined herein shall
have the same meaning as set forth in the Schedule 13D.
Item 3. Source and Amount of Funds or Other Consideration
All Reporting Persons used an aggregate of approximate-
ly $1,636,444 to purchase its Securities. GAMCO and G&CO Trading
used approximately $1,635,400 and $1,044 of funds that were
provided through the accounts of certain of their investment
advisory clients (and, in the case of some of such accounts at
GAMCO, may be through borrowings from client margin accounts) in
order to purchase the Securities for such clients.
Item 5. Interest In Securities Of The Issuer
(a) The aggregate number and percentage of Securities
to which this Schedule 13D relates is 897,752 shares, repre-
senting 12.62% of the 7,113,581 shares outstanding in the Issu-
er's filed Form 10Q dated April 29, 1994. The Reporting Persons
beneficially own those Securities as follows:

has the sole power to vote or direct the vote and sole power to
dispose or to direct the disposition of the Securities reported
for it, either for its own benefit or for the benefit of its in-
vestment clients or its partners, as the case may be, except that
GAMCO Investors, Inc. does not have authority to vote 76,400 of
the reported shares, and except that GFI has sole dispositive and
voting power with respect to the shares of the Issuer held by the

Gabelli Small Cap Growth Fund, The Gabelli Equity Income Fund,

Potato Fund, and/or The Gabelli ABC Fund with respect to 73,500
shares which may be held by one or more of such funds, and except
that Gabelli & Company shares with the clients for whose accounts
such Securities were purchased the voting and dispositive power
with respect to any shares which may be purchased for such
accounts, and except that the power of Mr. Gabelli and GFI is
indirect with respect to Securities beneficially owned directly
by other Reporting Persons.
