Explanation of Responses:
*Grant to reporting person of option to buy 50,000 shares of common stock under
the Xytronyx, Inc. Stock Option Plan for Non-Employee Directors in
transaction exempt under new Rule 16b-3. The stock option shall become
exercisable as follows: 25% upon grant, the remaining 75% shall become
exercisable in yearly increments of
25%.
