SANTA FE RESPONDS TO UP'S WITHDRAWAL

     SCHAUMBURG, ILLINOIS, January 31, 1995 -- In response to Union Pacific's 
announcement that it is terminating its offer to acquire Santa Fe, the company 
stated that its directors continue to believe its proposed merger with the 
Burlington Northern is in the best interests of Santa Fe shareholders, and that 
Santa Fe will continue to vigorously pursue that merger.

     The company urges all its shareholders to vote for the merger and to 
promptly submit their proxy cards for the February 7th meeting.
