This letter is regarding the filing made for the above-referenced product on
April 18, 1996. (Accession No. 950123-96-001752.) This post-effective
amendment No. 7 was made to add updated financial information on Form S-2.
This filing was accepted as a live filing on April 18. However, due to a
clerical error, the incorrect '33 Act file number was used. The number used,
33-89812, pertains to the Travelers Target Maturity product. The correct number
for the T-Mark product is 33-33691.
We have refiled the T-Mark S-2, using post-effective amendment number 8. We
respectfully request that post-effective amendment number 7 be withdrawn.
Patrice Pitts, from the Commission, suggested that this would be the most
expeditious way to correct this situation. She has given us her assurance that
our requested acceleration date of May 1, 1996 would not be delayed.
