The Issuer entered into an Agreement and Plan of Merger, among
the Issuer, Eurostar Perfumes, Inc. and Transvit Manufacturing
Corporation, pursuant to which Eurostar Perfumes, Inc. was
merged with and into the Issuer on August 31, 1995. In
connection therewith, the Issuer issued a total of 9,977,810
shares of its Common Stock, $.01 par value, to Transvit
Manufacturing Corporation, the sole shareholder of Eurostar
Perfumes, Inc.
