     The Company anticipates that its results of operations for the year ended
     August 29, 1998, will reflect a net loss of $1,491,000, as compared to net
     income of $1,083,000 recorded for the year ended August 30, 1997. The
     decrease in net income for the year ended August 29, 1998, was primarily a
     result of (i) lower sales in the U.S. and Latin America channels, partially
     offset by an increase in chain accounts and (ii) lower gross profit margins
     due to a decrease in sales and an inventory reduction program implemented
     by the Company that is designed to sell slower rotating finished goods and
     raw materials at reduced margins.
