the prescribed time period.
The financial statements of OCG Technology, Inc. (the "Registrant")
will not be completed by February 14, 2000, the last day for a timely filing
of its Quarterly Report on Form 10-QSB for the fiscal quarter ended December 31,
1999, pursuant to Rule O-3 of the General Rules and Regulations under the
Securities Exchange Act of 1934.
Registrant will not have sufficient time to complete their financial
statements and issue their report for the quarter ended December 31, 1999
because of delays caused as a result of the sale of the business of a wholly
owned subsidiary.

on Form 10-QSB for the period ended December 31, 1999.
