Canyon Resources Corporation hereby requests that the Form 8-A filed July 1,
1996 be withdrawn, as we did not have enough holders of the warrants to list
them on the American Stock Exchange.   A substitute Form 8-A was subsequently
filed on August 6, 1996, in lieu of the July 1 filing, and declared effective
on August 15, 1996.
