The Company was not in compliance with a certain performance covenant under its
Briggs loan facility at September 30, 1998 and is continuing to negotiate with
the lenders regarding disposition of this matter. The Company anticipates
closure on the matter in time to file the required report by the fifth calendar
day following the prescribed due date.

The Company will report improved results from the corresponding quarter for the
prior year due to a gain of approximately $0.9 million relating to a partial
prepayment on its gold loan.
