State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period. (Attach Extra Sheets if Needed)
The Company was not in technical compliance with a certain performance covenant
under its Briggs loan facility at December 31, 1998 and is currently evaluating
its options relative to the covenant violation. The Company anticipates
resolution of the matter in time to file the required report by the fifteenth
calendar day following the prescribed due date.

The Company will report improved results in 1998 prior to an extraordinary item
and cumulative effect of changes in accounting principles as compared to 1997.
The Company will report a net loss in 1998 after the extraordinary item and
cumulative effect of changes in accounting principles of approximately $12.1
million.
