The undersigned Ohio Power Company ("OPCo") hereby amends its
Application or Declaration on Form U-1 in File No. 70-5862, as
heretofore amended, as follows:
1. By amending and restating the third sentence in the first
paragraph which was added at the end of ITEM 1E. DETERMINATION OF
BARGE RATES as follows:
"Therefore, OPCo proposes that the provision for cost of
capital applicable to its investment in the River Transpor-
tation Division would be adjusted on an annual basis,
determined as set forth in Appendix A attached hereto."
2. By adding the following paragraph at the end of ITEM 2.
FEES, COMMISSIONS AND EXPENSES:
"The expenses of OPCo in connection with the transactions
proposed herein are estimated not to exceed $5,000, consisting
of expenses to be billed at cost by American Electric Power
Service Corporation and the Commission's $2,000 filing fee."
