OHIO POWER COMPANY ("the Company"), Canton, Ohio, hereby
certifies, in connection with the Application or Declaration on
Form U-1 in the above-entitled matter, that certain of the
transactions specified in said Application or Declaration, as
amended (the "Declaration"), have been carried out in accordance
with the terms and conditions of and for the purposes represented
by the Declaration and the Order of the Securities and Exchange
Commission in HCAR 35-25431 with respect thereto, dated December
18, 1991, as follows:
1. On December 15, 1993, the Company executed a bill of sale
transferring the Company's interest in 520 wooden distribution
poles to Alltel Ohio, Inc., for consideration of $94,096.
2. On October 4, 1994, the Company executed a bill of sale
transferring the Company's interest in 254 wooden distribution
poles to Alltel Ohio, Inc., for consideration of $55,291.
3. On November 7, 1994, the Company executed a bill of sale
transferring the Company's interest in 165 wooden distribution
poles to the Western Reserve Telephone Company for consideration of
$42,212.
4. The transactions described herein were consummated within
the period designated in the Declaration and the Order.
