The undersigned Ohio Valley Electric Corporation ("OVEC")
hereby amends its Application or Declaration on Form U-1 in File
No. 70-8335 as follows:
By amending and restating the third to the last paragraph in
ITEM 1. DESCRIPTION OF PROPOSED TRANSACTIONS:
"Fixed Rent under the lease will not exceed
$2,500,000 per year. In any given year, the number of
railcars OVEC subleases to non-affiliates will not exceed
on an average basis fifty percent (50%) of the railcars
OVEC owns or leases."
