I have acted as counsel for Ohio Valley Electric Corporation
("OVEC") in connection with the authorization of OVEC to
issue and sell short-term notes ("Notes") to various banks,
through December 31, 1994, in aggregate principal amounts
not to exceed $25 million outstanding at any one time
pursuant to Release No. 35-25586, dated July 22, 1992, and
Release No. 35-25780, dated April 1, 1993. The Notes would
mature not more than 270 days after the date of issuance or
renewal, provided that none would mature later than June 30,
1995, all as specified in the Application or Declaration on
Form U-1 and all amendments thereto filed with your
Commission in File No. 70-7969.
In connection with said program, I have examined, among
other things, the following: the Application or Declaration
on Form U-1 and all amendments thereto filed by OVEC in File
No. 70-7969; resolutions adopted by the Board of Directors
of OVEC, authorizing the program and the filing of said
Application or Declaration on Form U-1; and the Orders of
the Securities and Exchange Commission authorizing the
foregoing transactions.
In my opinion, (a) all requisite action has been taken that
was necessary to make valid the authorization to issue and
sell short-term notes by OVEC; (b) the transactions were
carried out in accordance with the Application or
Declaration on Form U-1 -- the transactions having been made
