GENERAL INSTRUCTIONS
1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General
Rules and Regulations under the Securities Exchange Act of 1934.
2. One signed original and four conformed copies of this form and amendments
thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule O-3 of the
General Rules and Regulations under the Act. The information contained in
or filed with the form will be made a matter of public record in the
Commission files.
3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of
the registrant is registered.
4. Amendments to the notifications must also be filed on form 12b-25 but need

NOTE A -- SUPPLEMENT TO PART III
The Registrant is unable to file its Quarterly Report on Form 10-Q
for its fiscal quarter ended February 28, 1998 (the "Form 10-Q") on or before
the prescribed due date of April 14, 1998. The Registrant is experiencing a
delay in closing its books and records for the fiscal quarter ended February
28, 1998 as a result of changes in its accounting staff as well as delays in
receiving information from its Canadian subsidiary and these circumstances
have resulted in the Registrant's inability to complete by April 14, 1998 its
financial statements for the fiscal quarter ended February 28, 1998. The
Registrant expects to file the Form 10-Q on or before April 20, 1998.
NOTE B -- SUPPLEMENT TO PART IV
The Registrant anticipates that it will report a net loss of
approximately $(1,300,000) for the quarter ended February 28, 1998 as
compared to a net loss of $(572,000) for the comparable quarter of the prior
year and a net loss of approximately $(1,750,000) for the six months ended
February 28, 1998 as compared to net income of $363,000 for the comparable
period of the prior year. The results of operations for the quarter and six
months ended February 28, 1998 were negatively impacted by the consolidation
of the Registrant's New York post production divisions, increased expenses
relating to the Registrant's Canadian subsidiary which began operations in
April 1997 and scheduling delays in connection with the introduction of the
Registrant's two new digital mobile teleproduction units.
