                       Supplement dated June 20, 1996 to
                        Prospectus dated January 2, 1996

   The Board of Directors of the Fund has approved the creation of a new series.
In connection with the foregoing, the Board also approved an increase in the
Fund's authorized shares from 500 million to 1 billion, such shares to consist
of two series designated the Global Series and the International Stock Series.
Each series is divided into four classes, as follows: 125 million shares of
Class A common stock, 125 million shares of Class B common stock, 125 million
shares of Class C common stock and 125 million shares of Class Z common stock.
It is currently anticipated that the International Stock Series will begin
offering shares in or about September 1996. Subject to shareholder approval of
the shareholders of The Prudential Institutional Fund (PIF)--International Stock
Fund, it is currently anticipated that the International Stock Series will
acquire the assets and liabilities of the PIF International Stock Fund in or
about September 1996. Existing shareholders will be designated shareholders of
the Global Series.

   In addition to the changes described above, the Board of Directors approved
changing the name of the Fund to ``Prudential World Fund, Inc.'' This change
will become effective as soon as reasonably practicable.

   The following supplements the disclosure under the heading ``How the Fund
Calculates Performance'' in the Prospectus.

   The Fund may include comparative performance information in advertising or
marketing the Fund's shares. The Fund may include performance information about
each of the Fund's classes and is no longer required to include performance data
for all classes of shares in an advertisement or other information including
performance data of the Fund. See ``How the Fund Calculates Performance.''
