Person in this form are beneficially owned by LF Strategic Realty Investors
L.P. ("LFSRI") and may be deemed to be beneficially owned by the Reporting
Person. The Reporting Person is the sole general partner of LFSRI and an
affiliate of Lazard Freres & Co. LLC ("Lazard"). Lazard and LFREI each
disclaims beneficial ownership of the shares of Series D Preferred Stock
