Item 5.  Other Events

         Republic Security Financial Corporation issued a press release
announcing net income of $5.2 million or $0.11 diluted earnings per common share
for the three months ended June 30, 2000 compared to net income of $8.5 million
or $0.17 diluted earnings per common share for the three months ended June 30,
1999. Net income was $12.9 million or $0.26 diluted earnings per common share
for the six months ended June 30, 2000 compared to net income of $14.0 million
or $0.27 diluted earnings per common share for the six months ended June 30,
1999. Earnings, excluding merger related expenses, for the six months ended June
30, 1999 were $16.4 million or $0.32 diluted earnings per common share.

         The press release issued by the Registrant described herein is attached
hereto as Exhibit 99.1 and is hereby incorporated herein by reference in its
entirety.
