The Corporation's Common Stock is currently traded on the New
York Stock Exchange (the "Exchange") under the symbol FJQ. A
listing application has been filed with the Exchange regarding
the Class A Stock being registered pursuant to this Registration
Statement. A description of the Corporation's Class A Stock is
contained in the Corporation's Proxy Statement dated January 22,
1992 under the heading "PROPOSAL TO APPROVE THE CLASS A STOCK AND
