Purico (IOM) Limited, Clary Limited and Nathu R. Puri hereby amend their
statement on Schedule 13D relating to the shares of common stock (the "Common
Stock"), par value $.50 per share, of Cadmus Communications Corporation, as set
forth below.
ITEM 5. INTEREST IN SECURITIES OF THE ISSUER.
Item 5 is hereby amended to include the following:
Since entering into the Stock Purchase Agreement, Purico has purchased
an additional 357,200 shares of Common Stock (116,200 shares on June 23, 1999,
116,400 shares on June 25, 1999, 4,000 shares on August 12, 1999, 3,000 shares
on August 17, 1999 and 117,600 shares on August 18, 1999). Accordingly, Purico
currently owns of record 1,286,468 shares of Common Stock (14.3% of the
outstanding Common Stock).
Melton Medes Limited, a company incorporated in the United Kingdom
("Melton"), has purchased 20,600 shares of Common Stock (600 shares on May 3,
1999, 10,000 shares on May 6, 1999 and 10,000 shares on May 7, 1999) (0.2% of
the outstanding Common Stock).
By reason of Mr. Puri's relationship to Purico, Melham and Melton, Mr.
Puri may be deemed to share voting and dispositive power with respect to the
shares of Common Stock held of record by Purico, Melham and Melton. Accordingly,
Mr. Puri may currently be deemed to share voting and dispositive power with
respect to 1,436,133 shares of Common Stock (15.9% of the outstanding Common
Stock).
