SUPPLEMENT TO PROSPECTUS DATED MAY 22, 1995
The directors or trustees of each of the Funds have
authorized Berger Associates to place portfolio transactions on an
agency basis with a broker-dealer affiliated with Berger Associates.
When transactions for a Fund are effected through that broker-dealer,
the commissions payable by the Fund are credited against, and thereby
reduce, certain operating expenses that the Fund would otherwise be
obligated to pay. No portion of the commissions is retained by the
affiliated broker-dealer.
Also, Kansas City Southern Industries, Inc., has advised the
Funds that it has decided not to pursue the plan described on page 18
of the Prospectus to transfer its interest in Berger Associates, Inc.
(the Funds' investment adviser) to another subsidiary in connection
with a planned public offering of that subsidiary.
