PART III--NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period. (ATTACH EXTRA SHEETS IF NEEDED)
The principal cause of the Company's inability to timely file its Quarterly
Report on Form 10-Q for the period ended September 30, 1996 is that due to
certain third quarter events the disclosure requirements were more extensive
than normal. The Company is accustomed to relying on its internal audit
procedures and in-house staff for the preparation of the Quarterly and Annual
Reports. However, the Company has sought review of the Quarterly Report by the
Company's outside auditors and outside legal counsel for assistance in
reviewing the accuracy and completeness of its disclosure information. At the
time of filing, the outside review was ongoing and the Company was unable to
finalize the Quarterly Report on Form 10-Q for a timely filing.
