the Company's $.40 par value common stock under the terms and
conditions of the Company's 1996 Incentive Stock Option Plan.
The option vests at the normal expiration of the reporting

meeting of shareholders at which directors are elected,
provided the reporting person remains as a director for such
term. The shareholders meeting is tentatively schedule at
