ITEM 5. OTHER EVENTS.
On October 25, 1996, NTN Communications, Inc. (the "Company") announced that it
had suspended shipments of its Playmaker(R) keypads to new locations pending
formal approval by the FCC. On October 28, 1996, the Company confirmed that
there has been no interruption of service to existing NTN Network subscribers
and that the situation has no effect whatsoever on NTN's Home Services. The
Company's announcements in this regard are attached as exhibits to this Report
and incorporated herein by reference.

NTN APPLIES FOR PLAYMAKER APPROVAL

CARLSBAD, Calif. - October 25, 1996 - NTN reported that it was advised by the
FCC that its Playmaker(R) keypad had not received formal approval. Though NTN
had submitted an application to the FCC ten years ago, NTN only recently learned
that approval was never granted.
Upon notification, NTN submitted its application to the FCC and commenced
testing its equipment. Although the Company has not received formal approval
from the FCC, the Company does not anticipate obstacles to receiving official
approval. During this period, NTN has continued to distribute its programming
to existing locations, but has suspended shipments to new locations until
receipt of written FCC approval. NTN's expanding Home Services were not in any
way affected by this recent situation.

CARLSBAD, CALIFORNIA, OCTOBER 28, 1996 - In commenting on its release of last
Friday, October 25, NTN Communications, Inc. (AMEX:NTN), president, Dan Downs,
said today, "There has been no interruption of our service to the NTN
subscribers on the NTN network, nor do we anticipate any in the future.
Independent tests indicate that our current system is in compliance with FCC
regulations and the Company expects FCC approval shortly. The Company is
supplying full service to our network and none of this affects our Home
Services."
