Explanation of Responses
On September 30, 1997 the Company acquired the assets of Health Technologies
International, Inc. ('HTI'). Mr Fidler, who was the controlling shareholder at
HTI, received 6,000,000 common shares of the Company in exchange for his HTI
holdings.
* Mr. Fidler's wife, Wanda Billet, is the owner of 75,000 shares of the Common
stock of the Company, however Mr. Fidler disclaims any beneficial ownership in
those shares.
