A.T. OHIO MUNICIPAL MONEY FUND
(Formerly Known As "A.T. Ohio Tax-Free Money Fund")
Supplement to Prospectus dated October 31, 1993
At a Special Meeting of Shareholders of the Fund held on February 24,
1994, shareholders approved a new investment advisory contract between
the Fund and its current investment adviser, Society Asset Management,
Inc. (the "Adviser"). Approval of a new contract was sought in
connection with the merger of the Adviser's parent, Society
Corporation, with KeyCorp, which took place on March 1, 1994. The
Adviser is now an indirect, wholly-owned subsidiary of the resulting
holding company, KeyCorp, which will be headquartered in the Society
Center complex in Cleveland, Ohio.
Shareholders also approved a change in the Fund's "fundamental"
investment policy regarding investments in instruments the income from
which is subject to federal Alternative Minimum Tax ("AMT
instruments"). As a result, the Fund is now permitted to invest,
without limit, in AMT instruments. The Fund's policy now specifies
that at least 80% of the Fund's annual interest income will be exempt
from federal regular income tax and Ohio income tax.
In light of the change regarding AMT instruments, it became necessary
to change the Fund's name to remove the reference to "Tax-Free" in
order to be consistent with the Fund's new investment policy. At the
Special Meeting, shareholders approved an amendment to the Fund's
Declaration of Trust so as to permit the Trustees to change the name
of the Fund, and the Trustees have acted to substitute "Municipal" for
"Tax-Free" in the Fund's name .
At the Special Meeting, the shareholders elected James H. Bodurtha,
Edward P. Campbell, James E. Gulick, Harald Miller, and Thomas F.
Morrissey to serve as the Fund's Board of Trustees.
