Earth Search Sciences, Inc. ("ESSI") is not able to timely file by June 28,
1996, its Form, 10-K for the year ended March 31, 1996, without
unreasonable effort or expense due to the time and effort involved in
footnote disclosures for recent financing and equity transactions. The
current Form 10-K will be filed by the fifteenth calendar day following the
prescribed due date.
