Explanation of Responses:
(a) Exercisable as follows: 25% on April 1, 1999; 25% on April 1, 2000; 16-2/3%
on April 1, 2001; 16-2/3% on
April 1, 2002; and 16-2/3% on March 31, 2003. Vesting for all options
accelerate in event of change in control.
(b) Expire on the first to occur of (i) March 31, 2009, (ii) termination of
employment for cause, (iii) 90th day after
termination of employment for reason other than cause, death or disability and
(iv) 120th day after termination of
employment fro death or
disability.
