(1) The form of beneficial ownership of the 18,589 Shares previously reported
held indirectly by Mr. Anzo through ANTs, Inc. and A&P Investors, Inc. has
changed; Mr. Anzo now holds these shares directly.
(2) The reporting person directly owns controlling interest (95%) of the
membership interests of VIP Management, LLC ("VIP") which directly owns 100,000
Shares. Consequently, the reporting person may be deemed to have an indirect
pecuniary interest in 95% of the 100,000 Shares held by VIP, or a total indirect
pecuniary interest in 95,000 Shares. The reporting person disclaims beneficial
ownership of the additional 5,000 Shares held by VIP, and this report shall not
be deemed an admission that such person is the beneficial owner of such
securities for purposes of Section 16 or for any other purpose.
