Item 2. Acquisition or Disposition of Assets
On March 25, 1996, a majority of the shareholders of Republic Leasing
Incorporated ("Republic") approved the Plan and Agreement of Merger ("the Merger
Agreement") between Republic and Westar Financial Services Incoporated
("Westar"), a newly formed Washington state corporation. The Agreement became
effective March 31, 1996.
Pursuant to the Merger Agreement, Republic was merged with and into Westar. As
of the effective date of the Merger Agreement, the owner of each outstanding
share of common stock of Republic now owns one common share of Westar.
Similarly, the owner of each outstanding share of preferred stock of Republic
now owns one Westar preferred share of the corresponding series. Each
outstanding certificate representing a Republic common or preferred share will
continue to represent the same classification and number of shares in Westar.
All outstanding warrants and options of Republic are now warrants and options of
the same tenor from Westar.
