State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The Company has hired a new Chief Financial Officer during
September, 1997 to replace the former Chief Financial Officer who
resigned for personal reasons during August, 1997. These events
have caused the delay in completing the Form 10-K filing and
releasing the results of operations. A few additional days are
needed to complete and finalize the Form 10-K filing.
