The Quarterly Report on Form 10-Q for AmeriQuest Technologies, Inc.
("AmeriQuest") cannot be filed timely because of continuing difficulties in
combining the various accounting systems of those companies it has acquired,
which has resulted in AmeriQuest having to maintain multiple accounting systems,
and the corresponding effort required to finalize the acquisition of Robec, Inc.
on November 13, 1995.
