During the weeks preceeding the due date of the subject report substantial
resources were expended in the negotiation and consummation of a new bank
financing agreement. As a result, such resources were not available to
complete the filing without unreasonable effort or expense.

As a result of acquisitions in August 1995 and December 1995, revenues for the
current period were approximately $3.6 million with a loss of approximately
$1.5 million compared to revenue of $1.6 million with net income of $25,000 for
the year earlier period.
