         why a reasonable estimate of the results cannot be made.

         The Company anticipates a loss for the year ended December 31, 1996 of
         approximately $3.1 million. This loss was primarily caused by lower
         than anticipated revenue, which was a result of inclement weather in
         the first quarter, a slowdown in government spending, and further price
         competition in the market, and higher than anticipated expenses.
