Gentlemen:
Effective March 11, 1996 Coopers & Lybrand L.L.P. was dismissed as the
independent accountants for The Rockwood Growth Fund, Inc. (Fund). Their report
on each of the two previous years contained an unqualified opinion. The
stockholders of the Fund approved the change at the annual meeting held February
29, 1996.
There were no disagreements on any matter of accounting principles or
practices, financial statement disclosure, or auditing scope of procedure.
Pursuant to the requirements of the Investment Company Act of 1940, the
