NOTES: Mr. Timlin has served on the Company's Board of Directors since 1982.
Mr. Timlin's latest appointment as a
Class A director expired on May 31, 1997 and he decided to retire and not run
for re-election. Accordingly, Mr. Timlin
is no longer a director of the
Company.
