                       PART III - NARRATIVE

          The Company recently acquired International Heritage, Inc., a North
Carolina corporation.  The Company's operating subsidiary has historically
prepared its consolidated financial statements with its Canadian subsidiary on
an annual basis only.  Management does not expect that its quarterly
consolidated financial statements with its Canadian subsidiary will be
available until approximately May 20, 1998.

          During the quarterly period ended March 31, 1997, the Company had no
assets or operations.  Following the completion of its recent reorganization
with an operating entity, results of operations will be significantly
different.
