PART III - Narrative
State below in reasonable detail the reasons why Form 10-K, 20-F,
11-K, 10-Q, N-SAR, or the transition report or portion thereof
could not be filed within the prescribed period.
Peerless Tube Corporate Office located at 58 Locust Avenue,
Bloomfield, N.J. incurred a major hardware problem with its
computer system. As a result, little or no data has been
available since July 12, 1996. A new computer was installed
August 10, 1996, but with testing, etc., it is impossible to
meet the August 15, 1996 due date for the 10-Q.
