Item 1. Description of Proposed Transaction

1. Delete the paragraph under "VI. RULE 24 CERTIFICATES" and insert
the following:
Applicants will file certificates pursuant to rule 24 within 60 days
after the end of each of the first three calendar quarters of their fiscal
year, and within 90 days after the end of the fourth calendar quarter setting
forth: (a) each transaction authorized herein that occurred within such
quarter and the terms and conditions on which such transaction was consummated;
(b) each financing transaction proposed herein exempt under rule 52 that
occurred within such quarter, which certificate shall contain the information
required to be filed under rule 52; and (c) any other transaction proposed
herein exempt under the Act or any rule promulgated thereunder that occurred
within such quarter and the terms and conditions on which such transaction was
consummated.
